Welcome to MedScale. These Terms of Service govern your access to and use of the MedScale platform and services. By using our platform, you acknowledge that you have read, understood, and agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using the MedScale platform, you agree to be bound by these Terms of Service. If you do not agree, you may not access or use the Platform. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Platform.

2. Platform Description

MedScale operates as a marketplace and third-party brokerage connecting physicians with investors for practice startups, acquisitions, and partnerships. We provide physician profile management, investor deal sourcing, AI-powered matching, due diligence facilitation, and compliance guidance. MedScale acts as a broker and facilitator — we do not provide investment advice, medical advice, legal counsel, or accounting services.

3. User Accounts

Physicians must provide accurate professional credentials including AMA certification, board certifications, and practice information. Profiles are anonymized by default. Investors must provide accurate information regarding investment capacity and accredited investor status. All users are responsible for maintaining account security and must notify MedScale immediately of any unauthorized access.

4. Fees and Payment

Physician Users: Platform access is free. No subscription fees, listing fees, or transaction fees. Investor Users: Pay for profile credits to access anonymized physician profiles. Credits are non-refundable once used. Brokerage Fees: MedScale charges a success-based fee on closed transactions. Fee structures are disclosed prior to deal engagement.

5. Intellectual Property

The Platform, including all content, features, functionality, software, and design elements, is owned by MedScale, Inc. User-generated content remains the property of respective users. By submitting content, you grant MedScale a non-exclusive, worldwide, royalty-free license to use such content solely for operating the Platform.

6. Regulatory Compliance

MedScale complies with applicable SEC regulations, Corporate Practice of Medicine (CPOM) doctrine, Anti-Kickback Statute, Stark Law, HIPAA, and state-specific healthcare regulations. Users are responsible for their own compliance. MedScale provides guidance but does not guarantee regulatory compliance for individual transactions.

7. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. MEDSCALE DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE. We do not guarantee the accuracy of user-provided information including physician KPIs, investor qualifications, or financial projections.

8. Limitation of Liability

MEDSCALE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

9. Governing Law

These Terms shall be governed by the laws of the State of Delaware. Any disputes shall be resolved exclusively in Delaware state or federal courts. For questions, contact [email protected].
